Gardner Denver agrees to $3.73B sale

(AP) ? Industrial pump maker Gardner Denver said Friday that it has agreed to sell itself to Kohlberg Kravis Roberts & Co. for about $3.73 billion.

Under the terms of the agreement, the New York-based private equity firm will acquire the Wayne, Pa.-based company for $76 per share.

That represents a 3 percent premium over the company's Thursday closing stock price and a 39 percent premium over its closing stock price on Oct. 24, the day before it announced it was exploring a possible sale.

The companies valued the deal at $3.9 billion including the assumption of debt.

Gardner Denver said in October that it would be reviewing its "strategic options," which generally include a sale of all or part of a company. That came after the company's August announcement that it would restructure its business to improve its profitability by consolidating manufacturing facilities and cutting staff.

In recent weeks, Gardner Denver shares have jumped on media reports that KKR had made a bid for the company.

The deal has been approved by Gardner Denver's board, but remains subject to shareholder and regulatory approvals. It's expected to close in the third quarter.

Shares of Gardner Denver Inc. rose 86 cents to $74.71 in morning trading Friday.

Google Tests Same-Day Delivery, Raising Marketplace Speculation ...

SAN FRANCISCO, United States ??Google Inc began testing a same-day delivery service with retailers in recent weeks, the latest move into Amazon.com Inc?s e-commerce turf by the world?s largest Internet search company.

Google Shopping Express helps local retail stores sell products online and have the items delivered to shoppers the same day, according to a person familiar with the test.

Google arranges for third parties, such as couriers, to pick the products up from local stores and deliver the items to shoppers. Neither the stores nor Google handle the deliveries, the person explained on condition of anonymity because the service is still in the early development stage.

Tom Fallows, a Google product management director with over a decade of e-commerce experience, is running Google Shopping Express. The test is focused on the San Francisco Bay Area and has been going for at least a month, the person added.

Google has not yet decided how to charge for the service. It is considering an annual subscription, similar to Amazon, which charges $79 a year for free two-day delivery of many items purchased on Amazon.com. However, Google may also charge a small fee each time a shopper orders through the service, the person said.

Google Shopping Express is the latest sign that the company is expanding from its online search roots into e-commerce. It also suggests that Google may be building an online marketplace that connects merchants and consumers, a business model that has made Amazon and eBay Inc successful in the United States.

?Google needs to become a marketplace,? said Scot Wingo, chief executive of ChannelAdvisor, which helps merchants sell more online. ?This is another step.? EBay is an investor in ChannelAdvisor.

Amazon?s marketplace business, which lets other merchants sell through its website, has grown rapidly in recent years and has been a big driver of Amazon?s revenue and profit growth.

This success has encouraged more shoppers to search for products on Amazon.com, rather than going to Google ? a potential threat to Google?s search dominance online.

In the past, consumers would search for an item on Google.com, an Amazon sponsored link would pop up, the shopper would click through, Google would get paid for the ad and Amazon got the sale.

?Everyone was happy. At least they used to be,? said Tom Allason, founder of Shutl, a startup that provides same-day delivery for retailers? online orders. ?Today Google needs a new play because increasingly consumers are cutting out Google and going direct to Amazon for their product search.?

Last year, Google changed its free product search offering to a paid service called Product Listing Ads, a move aimed at generating more revenue and profit from e-commerce.

In February, Google acquired Channel Intelligence, a $125 million deal that brought the search giant lots of data on e-commerce transactions. Longer-term, that could help Google build a product catalog, a crucial ingredient for an online marketplace that would compete with Amazon and eBay, according to Wingo.

?We view Google Shopping Express as another step in the evolution of Google Shopping and potential move to a full-blown marketplace,? Shawn Milne, an analyst at Janney Montgomery Scott, wrote in a note to investors on Tuesday.

Amazon has an advantage because it already has a network of large distribution warehouses, known as fulfillment centers, to deliver goods sold through its online marketplace, according to Wingo.

Google is likely taking a different approach, building a network of loosely affiliated local retail stores that, in effect, act like small fulfillment centers, Wingo explained.

EBay took a similar approach when it acquired Milo in late 2010. Milo let shoppers search for products available to buy in retail stores nearby.

The business formed the foundation of eBay?s Local Shopping business and is a crucial part of eBay Now, a same-day delivery service that the company began testing in San Francisco and New York last year.

(AP) ? The suspected driver who fled the scene of a grisly crash that killed a pregnant woman, her husband and ultimately the child they were expecting said Tuesday that he planned to surrender, though police continued searching for him and said they would arrest him if they found him.

Julio Acevedo, 44, told the Daily News of New York that he was speeding away from a gunman who was trying to shoot at him early Sunday when the accident with a hired car happened in the Williamsburg section of Brooklyn.

He said he fled the scene because he was worried he'd be killed and didn't know the couple had died until he saw it in newspapers.

"My heart goes out to them," Acevedo told the newspaper Tuesday in a phone call arranged by a friend. "I didn't know they died until I saw the news."

The friend who arranged the call, Derrick Hamilton, said Acevedo was running for his life after the crash, and called it a terrible accident. "He's meeting with a lawyer right now, they are going to arrange how to turn himself in," Hamilton told The Associated Press.

Police said later Tuesday they had had no contact with Acevedo.

"We are still looking to apprehend him," spokesman Paul Browne said. "We have no information that he is going to surrender."

Acevedo was in a BMW going at least 60 mph when he crashed into another car carrying Nachman and Raizy Glauber, both 21. They died Sunday, and their premature son died Monday. The hired car had a stop sign; it's not clear if the driver stopped.

Acevedo was arrested last month on a charge of driving while under the influence, and the case is pending. He was stopped by police after they said he was driving erratically around 3 a.m. Feb. 17. He had a blood-alcohol level of .13, over the limit of .08, police said.

He served about a decade in prison in the 1990s for manslaughter after he was convicted of shooting Kelvin Martin, a Brooklyn criminal whose moniker "50 Cent" was the inspiration for rapper Curtis Jackson's current stage name. Neighbors said his mother lived in the same building, but she did not answer her door.

Shortly after midnight Sunday, Raizy Glauber, who was seven months pregnant, wasn't feeling well, so the couple decided to go to the hospital, said Sara Glauber, Nachman Glauber's cousin. They called a livery cab, a hired car that is arranged via telephone, not hailed off the street like a yellow cab.

The crash with the BMW reduced the cab to a crumpled heap, and Raizy Glauber was thrown from the wreck. The engine ended up in the back seat. The driver of the livery cab was knocked unconscious but was not seriously hurt.

The couple belonged to a close-knit ultra-Orthodox Jewish community in Brooklyn, which is home to the largest community of ultra-Orthodox Jews outside Israel, more than 250,000. They were members of the Satmar Hasidic sect. Raizy Glauber grew up in a prominent rabbinical family. Her husband was studying at a rabbinical college; his family founded a line of clothing for Orthodox Jews.

The child was delivered by cesarean section after his parents were killed. The baby weighed only about 4 pounds when he was delivered, neighbors and friends said. He died of extreme prematurity, the city medical examiner's office said.

The baby was buried Monday near the fresh graves of his parents, according to Isaac Abraham, a spokesman for the Hasidic Jewish community. About a thousand community members turned out for the young couple's funeral a day earlier. They offered $15,000 reward for information leading to Acevedo's capture and called for murder charges to be filed.

How Acevedo came to possess the BMW is under investigation. The registered owner, Takia Walker, was arrested Sunday on insurance fraud charges in a scam involving the car, police said, but the Bronx district attorney's office said Tuesday that the case was deferred. Walker was not involved in the crash. A telephone number listed for her rang unanswered.

This season of parity in college basketball has produced quite a few surprises, from the revolving door at the top of the polls to the rapid decline of defending national champion Kentucky.

The latest twist came this week, when Gonzaga moved up to No. 1 for the first time in school history. That was merely a mild surprise. The Zags have been the pre-eminent mid-major for what feels like a quarter century now, so it only seemed like a matter of time before they went to No. 1.

Some of the other unexpected turns have been, well, a little more unexpected. Here's a few:

Miami. The Hurricanes were ranked fifth in the ACC preseason poll and even though they returned nine players from a 20-win team, weren't expected to draw much attention in South Florida ? or anywhere else for that matter. Miami had a look-at-us moment on Jan. 23 when it beat Duke by 27 ? the third-largest margin of victory over a No. 1 team ? and cracked the Top 25 the next week. The Hurricanes continued to build momentum, winning their first 13 conference games to rise in The Associated Press poll. Miami has struggled a bit lately, losing three of its past four ? by two to Georgia Tech Wednesday night ? but has already clinched a share of the ACC regular-season title and can win its first outright conference title by beating Clemson on Saturday.

Akron. Coach Keith Dambrot has given the Zips an identity in Ohio and the Mid-American Conference, but it hasn't gone much farther. That changed this season as Akron ran off 19 straight wins, shining a spotlight on a town better known for being the home of LeBron James. The Zips had their winning streak ? the longest in the nation at the time ? end with a loss to Buffalo last Saturday, but bounced back to beat Miami (Ohio) Tuesday night and wrap up their second consecutive Mid-American Conference regular-season title. And with a good mix of size, strength and experience, Akron (24-5, 14-1) has the kind of team that could damage a few brackets once the NCAA tournament rolls around.

Oregon. The Ducks played in the NIT last season and entered this season with nine newcomers, including seven freshmen, so it was no surprise they were picked to finish seventh in the Pac-12. Behind guard E.J. Singler and one of the most balanced teams anywhere, Oregon opened 11-2 in nonconference, then knocked off Pac-12 favorites Arizona and UCLA to rise in the polls. The Ducks slipped up with three straight losses, but have won five of six to take a half-game lead over UCLA atop the Pac-12. Heading into the final two games of the regular season, Oregon (23-6, 12-4) has a chance to win its first conference title since 2002 and is close to wrapping up its first NCAA tournament berth in five years.

Middle Tennessee. The Blue Raiders appeared to be a lock for the NCAA tournament last season before losses in the regular-season finale and quarterfinals of the Sun Belt Conference tournament relegated them to the NIT. They may be closer to a sure thing this season. Led by six seniors, Middle Tennessee set a school record with 27 wins, second nationally to No. 1 Gonzaga, and has an RPI of 25 after playing the nation's ninth-toughest schedule. The Blue Raiders went 19-1 in the Sun Belt and have won 16 straight headed into Saturday's conference tournament, their last before heading to Conference USA next season. Barring a meltdown in the conference tournament, Middle Tennessee (27-4) should be headed to the NCAA tournament for the first time since 1989.

Saint Louis. The Billikens ended a 12-year NCAA tournament drought last year, but were rocked by the death of former coach Rick Majerus. The 64-year-old coach took a leave of absence in August and died of a heart attack in December, a month after the school said he would not return. That left the team reeling and in the hands of interim coach Jim Crews. Behind a stifling defense, Saint Louis has done just fine under Crews, going 4-1 against ranked teams, with wins over Virginia Commonwealth and New Mexico, and two over Butler. The 16th-ranked Billikens (23-6) had their 11-game winning streak ended by Xavier on Wednesday night, but can still clinch a piece of the Atlantic 10 crown ? their first league title since 1970-71 in the Missouri Valley ? by beating LaSalle on Saturday.

Louisiana Tech. The Bulldogs were barely .500 last season, finished fifth in the WAC and lost key players, so there was no reason to think an NCAA berth would be coming. Louisiana Tech opened the season with a loss to Texas A&M and opened December with losses to Northwestern State and McNeese State in a span of three games. Once the WAC season started, though, the Bulldogs became unstoppable. Heading into Thursday's regular-season finale against New Mexico State, Louisiana Tech has won 18 straight for the nation's longest winning streak. The Bulldogs (26-3) are undefeated in conference (16-0) and have clinched at least a share of their first conference title since the Sun Belt in 1999. Not bad for their second season under coach Michael White.

TARRYTOWN, N.Y., March 5, 2013 (GLOBE NEWSWIRE) -- Progenics Pharmaceuticals, Inc. (Nasdaq:PGNX) reported positive clinical data from a study of two novel radiolabeled small molecules targeting prostate-specific membrane antigen (PSMA). The imaging agents ? 123I-MIP-1072 and 123I-MIP-1095 ? had a high sensitivity of lesion detection in bone, tissue and the prostate gland with minimal retention in non-target tissue. The research was published as the cover article in the March issue of The Journal of Nuclear Medicine.

"Existing imaging techniques are limited in their ability to diagnose and stage prostate cancer," said John J. Babich, Ph.D., senior author of the article "First-in-Man Evaluation of Two High-Affinity PSMA-Avid Small Molecules for Imaging Prostate Cancer." "The approach described in this paper has the potential to assess disease status more accurately. It could help clinicians select optimal treatments and lead to better patient outcomes."

Separate phase 1 studies were conducted under an exploratory investigational new drug (IND) application to measure the potential effectiveness of the small molecules in diagnosing and staging prostate cancer. In the first study, seven patients with documented prostate cancer were administered doses of 123I-MIP-1072 and 123I-MIP-1095, two weeks apart. In the second study, six healthy volunteers received 123I-MIP-1072 only. Whole body planar imaging and single photon emission computed tomography (SPECT)/computed tomography (CT) were performed for each group, and pharmacokinetics, tissue distribution, excretion, safety and organ radiation dose were analyzed.

Based on the data reported, Progenics is conductinga global, multi-center phase 2 trial investigating a next generation radiolabeled small molecule targeting PSMA, MIP-1404.

Mark R. Patients and their physicians would benefit from feedback on how therapeutic agents are impacting the course of cancer, and guidance on how and when to use therapeutic agents. It is clear that an improved way to visualize prostate cancer, with a high degree of specificity and sensitivity, would better inform both "watchful waiting" and the treatment of aggressive disease. We believe that data from the ongoing phase 2 trial of MIP-1404 will demonstrate its capabilities to assist prostate cancer patients and their physicians in making these critical decisions."
